1. Introduction
Welcome to Inner Ear Ltd. (“Inner Ear,” “we,” “our,” or “us”). By engaging our services, you (“Client” or “you”) agree to be bound by the following Terms and Conditions. These Terms govern all services provided by Inner Ear, including digital media production, content creation, training, and consultancy.
2. Services
Inner Ear provides a variety of services including but not limited to digital media production, content creation, training, and consultancy. Detailed service descriptions, deliverables, timelines, and costs will be outlined in specific project agreements.
3. Intellectual Property
3.1 Training and Consultancy Materials: All intellectual property rights in training and consultancy materials provided by Inner Ear remain the exclusive property of Inner Ear. We may grant licences to clients for the use of our IP subject to special agreement.
3.2 Production Content: Ownership of the content created by Inner Ear for clients remains our intellectual property unless specifically detailed in the project agreement. Where content ownership is transferred to the client, this transfer will only be effective upon receipt of full payment.
3.3 Moral Rights: Inner Ear reserves the moral right to be identified and recognised as the author of the content created.
3.4 Showreels and Case Studies: Inner Ear reserves the right to include clips or excerpts of the work created for clients in our showreels and case studies, unless the work is of a confidential nature.
3.5 Client-Provided Assets: The client is responsible for ensuring that they have the necessary rights and permissions for any content assets provided to Inner Ear for use in media production. The client will indemnify Inner Ear against any claims or damages arising from the use of such content.
4. Fees and Payment
4.1 Costs and Fees: All costs and fees for our services are subject to VAT unless otherwise indicated.
4.2 Payment Terms: Payment terms are a maximum of 30 days from the date of invoice unless otherwise negotiated and agreed in writing.
4.3 Late Payment: Failure to make payments within the stipulated time frame may result in additional charges and/or suspension of services.
5. Cancellation Policy
Unless otherwise agreed:
5.1 Cancellation by Client:
- More than four weeks before the start date: No charge.
- Less than four weeks but more than five days before the start date: 50% of the total project cost.
- Five days or less before the start date: Full price of the project.
5.2 Cancellation by Inner Ear: Inner Ear reserves the right to cancel any service at any time. In such cases, any payments made by the client for the cancelled services will be refunded in full, unless otherwise agreed due to mitigating circumstances.
6. Limitation of Liability
Inner Ear shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with our services. Our total liability to the client for any claim arising out of or relating to our services is limited to the amount paid by the client for those services. Inner Ear maintains Employers Liability, Public Liability, and Products Liability insurance policies, each with a coverage limit of £10,000,000, to provide additional protection.
7. Confidentiality
Both parties agree to keep confidential all information obtained from the other party during the course of the project that is designated as confidential or would reasonably be considered confidential.
8. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of Scotland. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Scottish courts.
9. Amendments
Inner Ear reserves the right to amend these Terms and Conditions at any time. Any changes will be posted on our website and will take effect immediately upon posting.
